Terms of Use

This contract is entered into between Nova Griffin.in and You (hereinafter referred to as “Client”) on the day of Order form filled and singed by Nova Griffin.in Executive along Client signature The person signing the Contract certifies that (s)he is lawfully authorized to purchase services on behalf of your company.

  • Novagriffin.com will provide Client with Optimised Digital Marketing service (hereinafter referred to as “ODM”) as described in this contract. Novagriffin.com will use specific keywords and/or phrases to improve the search engine ranking of, and/or position the contents of the Client’s website.
  • The total fee for the ODM services to be provided as mentioned in order form. All fees must be paid in full prior to the start of campaign. Service will be provided against payment in advance.

Nova griffin’s Digital Marketing Services will include (but are not limited to):.

  • Researching keywords and phrases to select appropriate, relevant search terms (minimum three words on phrases maximum 7 words).
  • Obtaining “back links” from other related websites and directories in order to generate link popularity and traffic.
  • Editing and/or optimization of text for various html tags, meta data, page titles, and page text as necessary.
  • Analysis and recommendations on optimal website structure,social medias, navigation, code, etc. for best SEO purposes.
  • Recommend, as required, additional web pages or content for the purpose of “catching” keyword/phrase searches.
  • Create traffic and ranking reports for client website and any associated pages showing rankings in the major search engines.

For the purposes of receiving professional Digital Marketing services, Client agrees to provide the following:

  • Administrative/backend access to the website for analysis of content and structure.
  • Permission to make changes for the purpose of optimization on your website. Incase of website designed and developed by third-party, client has to coordinate with FunnelMedia.in and third party of website developer. novagriffin.com executives will not contact your third party directly.
  • Unlimited access to existing website traffic statistics for analysis and tracking purposes.
  • A website domain email address for the purposes of requesting links (something likecontact@clientsite.tld)
  • Authorization to use client pictures, logos, trademarks, web site images, pamphlets, content, etc., for any use as deemed necessary by novagriffin.com for Digital Marketing purposes.
  • If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages. novagriffin.com can create site content at additional cost to the Client. If Client is interested in purchasing content from novagriffin.com, please contact novagriffin.com for a cost estimate.

Client must acknowledge the following with respect to Digital Marketing services:

  • All fees are non-refundable once contract signed.
  • All fees, services, documents, recommendations, and reports are confidential.
  • If an account becomes 15 days past due, all campaign activities will be paused until payment is made and the account is current. At 45 days past due, the account is to be handed over to collection.
  • Marketing and advertising programs may be paused if payment has not been made by payment due date; re-initiation fees may apply.
  • novagriffin.com has no control over the policies of search engines/social medias sites with respect to the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
  • You acknowledge and agree that novagriffin.com makes no specific guarantee or warranty regarding the search providers and publishers to which it submits advertising on your behalf, including placement of paid search advertising or any specific results. novagriffin.com does not warrant the number of calls, clicks, impressions or website visits or that paid search advertising will appear in response to any particular query. novagriffin.comdoes not warrant that the performance will be error-free but will immediately act to correct errors once they have been identified.
  • novagriffin.com may assign, delegate or subcontract any rights or obligations under this Terms and Conditions of Service.
  • Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, novagriffin.com does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term. However, if novagriffin.comfails to retain SERP (Search Engine Ranking Position) of Top 10 for more than four weeks of services in between contract, novagriffin.com will continue SEO services at no added cost to the Client until such a SERP is met if 50% list of Key Phrases.
  • Google has been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist for more than “x” amount of time. This is referred to as the “Google Sandbox.”novagriffin.com assumes no liability for ranking/traffic/indexing issues related to Google Sandbox penalties.
  • Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within 30 days of campaign completion, novagriffin.com will re-optimize the website/page based on the current policies of the search engine in question. Project Commitment duration count will start from the date of webmaster tool account creation by novagriffin.com. If Website has developed by novagriffin.com, client has to pay separately depending on size of website and pages. When client or novagriffin.com terminates contract, all the kind of service accounts such as website and hosting will be detached from novagriffin.com Service on next day of termination/windup/completion of contract. Henceafter of termination/windup/completion of contract novagriffin.com does not hold any responsibility of client website or website related loss/damage/security/issue.
  • Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid for inclusion or expedited service fees. novagriffin.com can offer a list of expedited listing services upon request.
  • Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. novagriffin.comdoes not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
  • novagriffin.com is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client’s website.
  • Additional Services not listed herein (such as managing pay-per click campaigns, copywriting, link baiting, etc.) will be provided for a Extra charges to obtained proposal from novagriffin.com
  • The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to FunnelMedia.in for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend novagriffin.com and its subcontractors from any liability or suit arising from the use of such elements.
  • With regards the part payments, Payment should be made on time as mutually agreed. In case of any delay, the client must pay 14%/annum interest in addition to part payment. In case any cheque bounces, Rs 900/- will be charged per bounce to the client
  • Incase of breaching contract, novagriffin.comis not liable for loss or damage on results and website. Incase of breaching contract by either side, all SEO activity will be reversed.
  • Incase of breaching contract, Client must pay due amount of one year contract bill amount.
  • All of the client’s digital marketing property(Such as website domain, hosting, social media accounts and campaigns) will be owned by novagriffin.com till clear the due payment
  • novagriffin.com will not hold any responsible for result or website when non renewal of contract or breaching contract
  • novagriffin.com is not responsible for the Client overwriting SEO work to the Client’s site. (e.g., Client/webmaster uploading over work already provided/optimized). The Client will be charged an additional fee for re-constructing content, based on the novagriffin.com’s Proposal. Notwithstanding any other provision of this Agreement, novagriffin.com obligation to provide free SEO services shall cease in the event the Client’s conduct overwrites the SEO services provided. For example, if the client’s webmaster uploads content without consulting novagriffin.com, then novagriffin.com obligation to provide SEO services for free shall terminate.
  • Venue and Dispute Resolution: Chennai, Tamil Nadu, India. Above contract terms conditions novagriffin.com could change time to time depends on technology update and market conditions without prior information.
  • We may, at any time, and at our sole discretion, modify these Terms and Conditions, including our Privacy Policy, with or without notice to the User. Any such modification will be effective immediately upon public posting. Your continued use of our Service and this Site following any such modification constitutes your acceptance of these modified Terms.
